On June 18, 2025, the Ontario Superior Court of Justice (Commercial List) (the “Court”) made an Approval and Reverse Vesting Order (the “ARVO”) in the restructuring proceeding under the Companies’ Creditors Arrangement Act (Canada) (the “CCAA Proceedings”) of Synaptive Medical Inc. (“Synaptive”), that, among other things, vested in 1001270243 Ontario Inc. (the “Company”), a corporation incorporated in advance of the making of the ARVO, all of Synaptive’s right, title and interest in and to the Excluded Assets (as defined in the ARVO) and channeling, assigning and vesting the Excluded Liabilities and Excluded Contracts (both as defined in the ARVO) in the Company, such that the Excluded Liabilities and Excluded Contracts became obligations solely of the Company. Also on June 18, 2025, the Court granted an order (the “June 18 Order”) that, among other things, authorized the Company to make an assignment in bankruptcy. On September 3, 2025, the Company was assigned into bankruptcy pursuant to section 49 of the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3, as amended, and the undersigned, Bricks Damiani Inc., was appointed as licensed insolvency trustee (the “Trustee”) of the estate of the bankrupt by the official receiver, subject to affirmation by the creditors of the Trustee's appointment or substitution of another trustee at the First Meeting of Creditors.

TO FORMER SYNAPTIVE EMPLOYEES: For those former employees of Synaptive who filed Wage Earner Protection Program (“WEPP”) claims with the Monitor under Synaptive’s CCAA Proceedings, the Trustee understands that those claims, while denied by Service Canada, are under appeal. The bankruptcy of 1001270243 Ontario Inc. does not trigger new employee claims as the termination of employment was done by Synpative.
